Chapter I      Company Identification

Chapter II     Nature and Purpose of the Service

These Terms and Conditions govern access to, use of, and purchase of the software offered by NET AND PURCHASE, S.A. de C.V. (hereinafter the “Company”), an entity specializing in the development and distribution of digital training and implementation software for Artificial Intelligence applied to productivity, communication, sales, automation, and professional and business growth.

The programs offered by the Company are digital and intangible in nature; they are provided through a one-time payment with no recurring fees and grant the Customer full access to the purchased content, allowing the Customer to implement it at their own pace and convenience.

Chapter III   Acceptance of the Terms

Acceptance of these Terms is implied by browsing the website and is expressly indicated by accepting an offer, purchasing a program, or making a payment. When the Customer acts on behalf of a legal entity, the Customer represents that they have the necessary authority to bind the entity legally in accordance with the provisions of this agreement.

Chapter IV   Prohibited Conduct on the Website

The Customer agrees to use the Company’s website in accordance with applicable Mexican law and these Terms. The following is expressly prohibited:

1. Using the website for unlawful or fraudulent purposes, or in a manner contrary to public policy or applicable law
2. Reproducing, copying, distributing, or selling any content on the site (including text, images, software, methodologies, educational materials, or other elements) without prior written authorization
3. Unauthorized use of the Company's name, image, trademark, or corporate identity.
4. Distributing content that infringes on the rights of third parties, is discriminatory, defamatory, or unlawful
5. Performing technical actions that damage, overload, or compromise the security of the website or its computer systems

Chapter V     Programs and Prices

The Company offers the applied artificial intelligence programs listed on its official website, organized by category. The prices listed are in Mexican pesos (MXN) and do not include Value Added Tax (VAT), which will be calculated based on the rate in effect at the time of purchase.

The descriptions and specifications of each program published on the Company’s website are for informational purposes only and may be subject to methodological or content adjustments, provided that such modifications do not alter the deliverables or the agreed-upon results, nor constitute a breach of the terms agreed upon with the Client.

The Custom Plan will be quoted on an individual basis, based on an analysis of the client's needs, with the price and scope defined in the corresponding proposal.

Chapter VI   Acquisition and Confirmation Process

1. Customers can select the program they are interested in on the Company's website or call +52 1 55 1560 7477 directly to request information
2. The Company confirms availability and provides the corresponding proposal or purchase order

• The Customer makes a one-time payment using the payment method available on the website

1. The Company sends a purchase confirmation to the registered contact, including details of the program, the amount paid, and the transaction reference
2. Access to the program's content is granted immediately or within the timeframe specified to the Customer at the time of confirmation
3. At the Customer’s request and upon receipt of complete and valid tax information, the Company will issue the corresponding CFDI

Chapter VII  Prices, Taxes, and Payment Methods

Program prices are listed in Mexican pesos (MXN) and do not include VAT. The applicable tax will be added to the base price at the current rate. The Company reserves the right to update its prices at any time, without affecting purchases that have already been confirmed by payment.

Accepted payment methods:

1. Visa or Mastercard credit card, processed securely through an authorized payment provider
2. Visa or Mastercard debit card, under the same processing terms

The Company does not accept any payment methods other than those expressly specified. All transactions are processed in Mexican pesos.

Chapter VIII Intellectual Property

All content on the Company’s website, including text, images, logos, methodologies, program materials, implementation guides, and other elements, is the exclusive property of NET AND PURCHASE S.A. DE C.V. or is used with proper authorization, and is protected by the Federal Copyright Law and the Industrial Property Law. Reproduction, distribution, transmission, or commercial use without prior written authorization is prohibited.

The purchase of a software program grants the Customer a personal, non-transferable, and non-exclusive license to use the content of the purchased program solely for the purposes of its professional application. The Customer may not redistribute, resell, sublicense, or reproduce the content of the software programs for commercial purposes.

Chapter IX    Limitation of Liability

The Company guarantees that its programs have been designed with methodological rigor and are geared toward practical results. However, the professional or commercial results that the Client achieves through the implementation of the programs depend on factors beyond the Company’s control, such as the level of commitment, consistency in implementation, and the specific conditions of the Client’s professional environment.

The Company’s total liability arising from the provision of its services shall in no event exceed the amount actually paid by the Customer for the program giving rise to the claim. The Company shall not be liable for any indirect damages, loss of revenue, or consequential damages claimed by the Customer.

Chapter X     Suspension of Access

The Company may revoke the Customer’s access to the content of a program, without incurring any liability, in any of the following cases:

1. Fraud, unauthorized use of payment instruments, or unjustified chargebacks
2. Unauthorized redistribution, resale, or sublicensing of program content
3. Use of the program content in violation of these Terms or applicable law
4. Failure to meet the relevant payment obligations

Chapter XI    Changes to the Terms

The Company may update these Terms at any time by posting the current version on its website, along with the date of the update. Continued use of the site or the purchase of new software after such posting constitutes acceptance of the Terms in their most recent version.

Chapter XII  Jurisdiction and Applicable Law

These Terms and Conditions are governed by the laws of the United Mexican States, including, but not limited to, the Commercial Code, the Federal Consumer Protection Law, and the Federal Law on the Protection of Personal Data Held by Private Parties. For the resolution of any dispute arising from their interpretation or enforcement, the parties expressly submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that might apply to them by reason of their present or future domicile.
